By confirming the Terms of Service when registering, you acknowledge and agree to the set forth below. Capitalized terms used herein but not defined shall have the meanings given to them in the General Terms. Throughout these Supplier Terms, the word “include” or “including” means “including, but not limited to”.

  2. Key Definitions

    • “Supplier” means a seller who offers to sell and/or sells its products to Buyers through the Services. The term “Supplier” also includes “Manufacturer” as defined below.
    • “Manufacturer” means a Supplier who offers to sell and/or sells its own products to Buyers on the Services.
    • “Buyer” means a trade buyer that purchases products through the Services for the purpose of use or resale as part of a construction project.
    • Additionally, HAUS offers two types of agency services for managing orders and payments on behalf of Suppliers: “Disclosed Agent” and “Hybrid (Undisclosed) Agent” services. These services have specific terms and conditions detailed below.

  3. Account Registration – Supplier Account To sell products and services through the Services as a Supplier, you must register an application to become a Supplier and be approved by HAUS for an account (“Supplier Account”), as further set forth in the General Terms. By accepting these Supplier Terms and providing the requested information (including any necessary documentation evidencing product compliance and safety and appropriate licenses and registrations applicable to your products, and if you are a Distributor, proof that you have the necessary rights from applicable third-party Suppliers whose products you seek to distribute on the Services) during the Supplier application process (as detailed in the General Terms), you authorize HAUS and its affiliates, acting on your behalf, to accept orders and process placed by Buyers for the sale of Supplier products and services, and on behalf of any third-party Suppliers whose products and services you seek to distribute using HAUS Services.

    Suppliers may choose to utilize HAUS’s Disclosed Agent or Hybrid (undisclosed) Agent services, where HAUS acts on behalf of the Supplier for certain transactions.

    • Disclosed Agent Service. Under the Disclosed Agent service, HAUS platform acts on behalf of the Supplier to manage the entire sales process, including order acceptance, payment processing, and facilitating customer communication. The Supplier remains the seller of record, HAUS facilitates all interactions between Supplier and Buyer. Suppliers using the Disclosed Agent service are directly responsible for remittance and reporting of VAT within the United Kingdom, managing their own customs clearance processes and organizing shipping to the buyer.
    • Hybrid (Undisclosed) Agent Service. The Hybrid Agent Service combines elements of both the Disclosed Agent and traditional sales models. HAUS will handle payment processing and facilitate customer interactions, the Supplier will manage order fulfillment, post-sale and warranty support. Under the Hybrid Agent service, HAUS will act as the Consignee for VAT reporting and customs clearance purposes only. This means HAUS will be responsible for the collection and remittance of VAT, as well as managing customs clearance and shipping to the Buyer only.

  4. Onboarding

    • Store Page. Each Supplier has its own dedicated store page on the Site featuring its products or services (including descriptions and other pertinent information. Accordingly, you represent and warrant that: (i) you are either the sole and exclusive owner of the Content that you make available through the Services or you have all rights, licenses, consents and releases necessary to grant to HAUS the rights in such Content as contemplated under these Terms (including, without limitation, all rights, licenses, consents and releases from applicable third-party Suppliers if you are a Distributor); and (ii) neither the Content nor your posting, uploading, publication, submission or transmittal of the Content or the use by HAUS or a Buyer of the Content (or any portion thereof) on, through or by means of the Services or social media platforms will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or contain inaccurate, misleading, libelous, misleading or otherwise unlawful, abusive, harassing or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Services, or result in the violation of any applicable law or regulation. HAUS takes no responsibility and assumes no liability, and you hereby release HAUS from any such liability related to any Content posted or otherwise made available by you, and you agree to indemnify HAUS per the terms of the Indemnification section herein.

  6. Product and Service Listing and Compliance

    • Product and Service Listing. HAUS requires each Supplier to list the wholesale catalog as agreed and applicable for relevant target markets and provide a description for each product, plus add corresponding certification and warranty information, together with relevant installation manuals. HAUS reserves the right to accept or reject any products and services and has final discretion as to the content of the final Store Page. Suppliers’ available products will at all times comply with HAUS’s Store and Product Guidelines regarding prohibited products.

    • Product and Content Compliance. All products and services made available on HAUS, and related Content, must meet HAUS’s Store and Product Guidelines. You acknowledge and agree to: (i) abide by HAUS’s Store and Product & Service Guidelines and to refrain from making available any prohibited products identified in HAUS’s Store and Product & Service Guidelines; (ii) comply with all applicable laws, rules and regulations, including safety, labeling, testing, warning, import/export and other consumer protection law requirements; (iii) not infringe upon or misappropriate the intellectual property, publicity or other rights of others; (iv) not provide any false, inaccurate or misleading information about your products; and (v) ensure that you have all necessary rights, licenses, permissions and consents to offer for sale and sell the products through the Services, including (a) that they are allowed to be sold from your jurisdiction and into the Buyers’ jurisdiction and (b) if you are a Distributor, that you are properly authorized to do so by the applicable third-party Manufacturer or Supplier. You acknowledge and agree that HAUS is not responsible for determining whether you meet the above requirements, you hereby release HAUS from any liability with respect thereto and agree to indemnify HAUS as set forth in the Indemnification section set forth below. Failure to comply with HAUS’s Products Guidelines may result in the temporary suspension or permanent termination of your Supplier Account, at our sole discretion.

  7. Product Pricing

    • Pricing Consistency. You acknowledge and agree that your prices on your Store Page will not be higher than the wholesale price you offer on all other wholesale channels where your products are sold in the applicable region. Product prices on your Store Page shall be displayed exclusive of VAT, GST or similar taxes.

    • Price Audits. You acknowledge and agree that HAUS may perform routine price and content audits of the products listed on your Store Page. That includes reviewing for wholesale price consistency between your sites and reviewing discrepancies that are communicated to us from Buyers. In the event a discrepancy is found, HAUS may reach out to you and require certain action be taken to resolve the issue. If you fail to properly and/or timely respond to the discrepancy, HAUS reserves the right to temporarily suspend or permanently terminate your Supplier Account.

  8. Title and Returns

    • Transfer of Ownership and Supplier Responsibilities. The transfer of ownership of the products sold (the “Products”) from the Supplier to the Buyer shall occur upon the completion of delivery at the Buyer’s specified delivery address and receipt of full payment to the Payment Processor platform to be held on behalf of the Supplier. HAUS acts solely as the transaction facilitator and consignee for delivery purposes, and at no point holds title to or ownership of the Products other than for VAT and Customs clearance purposes when operating in the Hybrid (unclosed) agent role. The Supplier is fully responsible for the legal compliance and safety of the Products, ensuring that they meet all applicable laws and regulations within the jurisdiction they are sold. The Supplier warrants that all Products sold to Buyers through the HAUS platform are free from any legal and commercial encumbrances, and all relevant product warranties are duly transferred to the Buyer. Moreover, the Supplier shall indemnify and hold HAUS harmless from any claims, damages, liabilities, costs, and expenses arising from or related to the Products or services supplied, including but not limited to, compliance with laws, regulations, and standards in the jurisdiction where the Products are sold.

    • Returned Products. The Supplier shall be solely responsible for managing and processing returns of Products according to the return policies specified at the point of sale. While HAUS may assist in facilitating the communications process for returns, the Supplier shall indemnify HAUS against any and all claims relating to the Products returned. The Supplier agrees to promptly and effectively resolve all issues pertaining to returned Products and to communicate directly with the Buyer regarding any such matters. HAUS’s role in the returns process is strictly limited to providing support through its platform Services.

  9. HAUS Commissions/Fees, Payment Terms and Facilitated Payment Terms

    • Disclosed Agent Service. Suppliers utilizing this service will pay a fee of 12% on each order processed through the Disclosed Agent Service. The fee will be calculated based on the total order value less shipping, VAT, and customs clearance charges. This fee rate may be adjusted on an individual Supplier basis, and must be agreed upon in writing between the Supplier and HAUS as relevant to the products or services supplied, reflecting the wholesale market rate.

    • Hybrid (Undisclosed) Agent Service. Suppliers utilizing this service will pay a fee of 15% on each order processed through the Hybrid (undisclosed) Agent service.

  10. Payment Timings and Trade Credit

    • Disclosed Agent Payment Timings. Under the Disclosed Agent service, payments to Suppliers will be processed within a minimum of 30 days of order confirmation and receipt of payment from the Buyer. HAUS will manage the disbursement of funds to the Supplier’s designated e-wallet using Mangopay SA.

    • Hybrid (Undisclosed) Agent Payment Timings. Under the Hybrid Agent service, payments to Suppliers will be processed within a minimum of 30 days of order confirmation and receipt of payment from the Buyer with HAUS managing the payment processing and disbursement of funds to the Supplier’s designated e-wallet using Mangopay SA. The Supplier will handle all other aspects of the order, including fulfillment, Buyer complaints, defect management and warranty support.

    • Facilitated Payment Terms. Depending on the jurisdiction in which you are located, you may be notified during the Account Registration process that the following additional terms and conditions (the “Facilitated Payment Terms”) shall apply to enable you to receive payments of the Purchase Price from Buyers as envisaged above. For these purposes:

      • HAUS has entered into arrangements with the payment processor Mangopay S.A. (the “Payment Processor”) to enable Mangopay, acting on your behalf, to facilitate payments of the Purchase Price to you in respect of your Orders less HAUS fees.
      • The Payment Processor will facilitate payments for your Orders by acting on your behalf in relation to the acquiring and collection of payments of the Purchase Price from Buyers and the making of payments of the Purchase Price to you less HAUS agreed fees or commissions and any relevant VAT deductions, shipping and customs fees, each in accordance with the Payment Timing made available to the Buyer and the Receipt Timing selected by you respectively. For this purpose, you are required to enter into the “Mangopay for Platforms Terms and Conditions” (the “Mangopay Terms”), and by accepting these Supplier Terms and HAUS’s General Terms of Service, you agree to be bound by the Mangopay Terms. The Mangopay Terms can be found here.
      • You acknowledge that HAUS is designated as your authorized representative for the purposes of giving instructions to the Payment Processor on your behalf in relation to the collection of the Purchase Price of each Order from the Buyer and the payment of the Purchase Price of any Order to you (including in relation to advising the Payment Processor of the amount and timing of to apply to each such payment) and otherwise in relation to the operation of your relationship with the Payment Processor in respect your use of Payment Processor’s services in that respect (including in relation to the access to, and use of, your data processed by the Payment Processor). You agree that HAUS shall be entitled to instruct the Payment Processor to pay to HAUS the amount of any fees or commissions payable by you to HAUS by way of deduction from any amount at any time being held by the Payment Processor for you.
      • Where, in respect of any Order, by virtue of the Payment Timing granted to the Buyer and the Receipt Timing that you have selected, payment of the Purchase Price will be made by the Payment Processor to you before the Purchase Price is collected from the Buyer:
        • the Payment Processor will apply the amount of the Purchase Price collected from the Buyer towards reimbursement of the amount of the Purchase Price paid by it to you in advance of collection from the Buyer, minus the agreed fees and other deductions; and
        • to the extent that such arrangements involve the provision of any kind of financial or payment service to you, such service will be provided by the Payment Processor and not by HAUS.
    • Payment Receipt Timings. You can choose to receive payment of the Purchase Price in respect of any Order either:

      • 30 days from the Shipment Date related to that Order: or
      • on the day after the Shipment Date for relevant Order (“Next Day Receipt”) or
      • using an agreed staged payment sequence
    • Payment Receipt and Next Day Receipt Fee. You can determine which of the above payment receipt terms (each a “Receipt Timing”) is to be applied in respect of an Order. In the event that you select Next Day payment as your Receipt Timing for any Order, you shall pay an additional processing fee of 1.5% of the Purchase Price to HAUS, such amount to be deducted from the payment of the Purchase Price to you and be paid to HAUS.

    • Non-Business Days. If, under any of the above provisions, a payment falls due to be made to you on a day which is not a business day, the payment date shall be extended to the next business day.

    • Payment Suspension. HAUS reserves the right to suspend payouts to you due to any pending disputes, excessive chargebacks or refunds and/or other improper or illegal activity.

    • Payment into your chosen bank account. Where any amount payable to you is paid to your chosen bank account via the Mangopay SA payment platform, it is anticipated that funds will appear within 1 to 2 business days after requesting a withdrawal from your Mangopay e-wallet. HAUS is not responsible for any actions taken by your bank that may result in some or all of the funds not being made available to you.

    • Percentage. Unless otherwise agreed by HAUS in writing, HAUS charges Suppliers a commission (the “Commission”) of 12% on disclosed and 15% on (hybrid) hybrid non-disclosed orders. Certain categories of products or services and a Supplier’s location may result in a Commission structure different from the foregoing, which will be agreed in writing during onboarding or creation of your Supplier Account.

    • Calculation. Commissions are calculated based on the amount of the order total in its agreed currency, excluding shipping costs, customs clearance costs and any United Kingdom VAT deductions.

  11. Shipping – Costs, Lead Times, Shipping Providers, Damaged Products

    • Shipping Costs for EU and Non-UK Transactions. Suppliers are obliged to use the “Ship with HAUS” program for securing shipping quotes from our preferred freight forwarders to enable a seamless shipping and custom clearance process. This service encompasses HAUS-negotiated discounted rates, which include customs clearance and freight insurance. Before finalizing the sale, Suppliers must request a comprehensive shipping quote through the HAUS platform and must include these costs in the total quote provided to Buyers, ensuring clarity and transparency of total expenses.
    • For domestic UK transactions, Suppliers are independently responsible for obtaining shipping quotes, which should include all necessary fees such as insurance and delivery charges. These quotes should be obtained from reputable shipping providers and must be communicated to the Buyer upfront, clearly reflecting in the total cost of the order.
    • Tracking and Shipping Documentation. It is incumbent upon Suppliers to procure and relay accurate tracking information for each order via the HAUS platform. For orders dispatched in multiple packages, distinct tracking numbers for each package are essential. Upon provision of this information, HAUS will notify Buyers of the shipment’s progress, enhancing delivery transparency and Buyer confidence.
    • Damaged or Missing Products. Suppliers serve as the initial contact for Buyers in the event of an order arriving damaged or incomplete. In the event that HAUS is alerted to such issues, the Supplier will be informed and must take action to resolve these concerns. This includes processing claims with the shipping provider and the preferred freight forwarder or shipping provider. Suppliers must effectively manage such issues in line with the insurance provisions and terms of service.
    • Shipping Insurance. Insurance is a mandatory aspect of international shipping through “Ship with HAUS” and is crucial for safeguarding against transit risks. For shipments within the UK, while HAUS does not mandate the purchase of insurance, it is highly advisable for Suppliers to procure such insurance. This step is vital for a seamless resolution of potential disputes and for the protection of goods in transit.

  12. Inventory, Orders, Recalled Products

    • Inventory. You agree to keep sufficient inventory on hand for products advertised as being available, and to keep inventory numbers current, or clearly illustrate and notify buyers about lead times for bespoke products. You agree to promptly remove any products that are discontinued or are out of stock through your Supplier Dashboard. It is your responsibility to keep your product catalog current and up-to-date based on availability (whether items are back-ordered or discontinued).
    • Orders. HAUS will send you an email each time a Buyer places an order for any of your Products and an Order is created. Your Supplier Account will also be updated with new Order details. You will be able to review the Order details, edit inventory availability and confirm or cancel the Order. You should confirm an Order within 2 business days of receiving the email notifying you of the Order’s conclusion and, if you wish to cancel an Order, you must do so within this timeframe. HAUS will notify the applicable Buyer on your behalf of any cancellation of an Order which you wish to effect and such Order will then cease to be binding on you or on the relevant Buyer from receipt of such notification by the Buyer from HAUS. If you wish to cancel an Order, you will be asked to provide a reason for not being able to fulfill the Order. Consistent order cancellation may result in the temporary suspension or permanent termination of your Supplier Account, in our sole discretion.
    • Right to Refuse. You have the right to cancel any Order by a Buyer for any reason. Consistent cancellation of Orders may, however, impact your visibility and search placement within the Services to Buyers.
    • Recalled Products. You agree to immediately inform HAUS if any of your products have been recalled, giving at least the following information: (i) product name; (ii) SKU number or other identifying number; (iii) number of units sold to Buyers; (iv) purpose of recall; and (v) any other information necessary so that the products may be properly and quickly recalled.
    • No Circumvention. Once any Order has been concluded with a Buyer through the Store Page and your use of the Services, you agree that you will fulfill such Order unless it is canceled in accordance with section 11(2). above. You further agree to not influence Buyers to transact offline outside of the Services in any manner, or otherwise circumvent HAUS’s process in order to transact orders with Buyers offline or outside of the Services provided in any manner.
    • Vacation Mode. If you are going on vacation, or will be unable to fulfill new Orders for a period of time, you may pause your Store Page for up to 12 weeks at a time using “Vacation Mode” found in your Supplier Account under the Settings tab. You will still be able to access your Supplier Account and you should still fulfill any Orders you have already accepted even while on “Vacation Mode”.

  13. Commitment to Quality and Service

    • Minimum Standards. Supplier and Buyer satisfaction is of utmost importance to the long-term health and success of the HAUS community. Accordingly, Suppliers are subject to the following minimum standards in connection with the Services:
      • To accurately list and describe available products and services on your Store Page;
      • To ensure that any cancellation of an Order is effected in a timely manner;
      • To timely fulfill Orders and ship the related Products to Buyers using a reputable shipping provider or HAUS’ approved freight forwarder or shipper;
      • To promptly and effectively respond to Buyer inquiries within 24hrs; and
      • To promptly resolve missing or damaged orders directly with a Buyer.
    • Metrics. You acknowledge and agree that in order to ensure that you are meeting the foregoing Suppliers minimum standard requirements, HAUS will track and measure your performance using a variety of metrics, including collecting reviews and ratings from your Buyers. Reviewed individually and as a whole, these metrics help HAUS determine whether you are meeting HAUS’s expectations on delivering a great experience for the Buyers. Such metrics also include:
      • Accuracy of product listings;
      • Catalog completeness;
      • How often your shipments are later than the expected shipping date;
      • How often you provide a valid tracking number;
      • How long it takes you to confirm or cancel new Orders;
      • How often your orders are reported as damaged or missing products:
      • How often your products are on backorder, returned or canceled;
      • How promptly and effectively you respond to Buyer inquiries;
      • How promptly and effectively you resolve missing or damaged orders with a Buyer;
    • Volume Considerations. HAUS takes volume consideration into account when calculating metrics. For example, if a Supplier has only 10 Orders, and 1 was damaged, then the damaged Order rate is 10%. While that metric is technically over HAUS’s target, it does not necessarily reflect an actual problem with performance given the low volume of Orders.
    • Evaluation. HAUS typically evaluates a Supplier’s performance using the above metrics on an ongoing monthly basis, and more frequently during high volume periods. The length of time between reviews depends on the volume of transactions of each flagged Supplier Account and/or the extent of available data. HAUS reserves the right to adjust its evaluation criteria as needed.
    • Accountability. If HAUS determines that you are not meeting the minimum standards of quality and service, HAUS may reach out to you in an attempt to resolve the issue and/or temporarily suspend or permanently terminate your Supplier Account. HAUS also reserves the right to put limits on your Supplier Account, lower your visibility and/or search placement across the Services, limit your ability to sell with new Buyers until you resolve outstanding issues, and/or deny signing up any affiliated, related or duplicate accounts.
    • Suspended Accounts. If your Supplier Account is suspended for performance issues, you may appeal for re-activation by providing HAUS with a plan of action for correcting the problems that contributed to the account being flagged and suspended. If HAUS in its sole discretion approves the plan of action, you may resume selling through the Services. If you believe that the flag on your Supplier Account is erroneous, you may contact HAUS and explain why.

  14. Promotion

    • Unless you opt out as set forth below, HAUS may feature certain Suppliers, products and Content at the top of their respective category, on HAUS’s landing pages, in advertisements, email, social media accounts or in any other channels or media in its discretion. HAUS may choose to bid on Supplier names and keywords relating to the Supplier’s products in advertising products and may create SEO optimized pages or campaigns. HAUS shall not be liable for any pricing or availability of a particular product featured in a particular ad or marketing. If you do not want to participate in the Marketing and Advertising Program, please Contact Us. HAUS may also offer Suppliers email marketing tools to use for their business. Additional terms and conditions may apply, including that all account leads must be sourced by you directly (purchasing lead lists from third parties is not permitted), the tools are not to be used for spam, and HAUS reserves the right to throttle or limit the number of emails sent to Buyers via such tools.

  15. HAUS Messenger

    • Buyers and Suppliers may contact each other directly through HAUS Messenger, Chat or Video Meet on the Services. You agree to use HAUS Messenger, Chat or Video Meet only for legitimate business purposes, such as responding to a Buyer’s question about your products or the status of an order, or to resolve business issues. You agree to not abuse HAUS Messenger, Chat or Video Meet, to use it only as is reasonably necessary and to not use it for the purpose of harassment or other improper purposes. If you are not able to answer a Buyer’s question or resolve issues, you may contact HAUS directly.

  16. Product Liability Insurance

    • All Suppliers are required to maintain, at their own cost and expense, general commercial liability insurance (including comprehensive product liability) with respect to its products listed on HAUS in such amount as is reasonable and customary for companies of comparable size and activities. HAUS reserves the right to request proof of such insurance coverage and other relevant information at any time.

  17. Indemnity

    • You agree to defend, indemnify, and hold HAUS, and its parent, subsidiaries, affiliates, partners, successors, and assigns, and each of their owners, members, officers, directors, employees, agents, representatives, contractors, subcontractors, licensors, service providers and third-party content providers, harmless from any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable legal and accounting fees) arising out of or related to your use of the Disclosed Agent or Hybrid Agent services, including any disputes with Buyers managed by HAUS on your behalf.

  18. Liability

    • YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICES, INCLUDING THE DISCLOSED AGENT OR HYBRID AGENT SERVICES, REMAINS WITH YOU. NEITHER HAUS NOR ANY OTHER PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SITE, SERVICES, APPLICATION WILL BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, INCLUDING THE DISCLOSED AGENT OR HYBRID AGENT SERVICES.

  19. Prohibited Uses

    • HAUS will have the right to investigate and prosecute violations of these Supplier Terms to the fullest extent permitted by law. HAUS may involve and cooperate with law enforcement authorities in prosecuting users who violate these Supplier Terms. You acknowledge and agree that HAUS has no obligation to monitor your access to or use of the Services or Content, or to review or edit any Content, but has the right to do so for the purpose of operating the Services, to ensure your compliance with these Supplier Terms, to investigate a complaint or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. HAUS reserves the right, at any time and without prior notice, to remove or disable access to any Content that HAUS, in its sole discretion, considers to be in violation of these Supplier Terms or otherwise harmful to the Services. HAUS reserves the right to cooperate fully with law enforcement, and to involve and share information with law enforcement, governmental agencies or other oversight bodies if HAUS suspects illegal activity may be taking place.

  20. Termination

    • If you breach any of these Supplier Terms, HAUS will have the right to temporarily suspend or permanently terminate your Supplier Account, and/or terminate these Supplier Terms and/or the General Terms of Service, in its sole discretion and without prior notice to you. HAUS reserves the right to revoke your access to and use of the Services at any time, with or without cause. In the event HAUS terminates these Supplier Terms for your breach, you will remain liable for all amounts due hereunder. You may terminate your relationship with HAUS at any time by Contacting Us or as otherwise indicated in your Supplier Account portal. HAUS will take down your Store Page as soon as practicable and will close your Supplier Account once there has been an accounting of all monies due and owing.

  21. Controlling Law and Jurisdiction

    • These Supplier Terms and any action related thereto will be governed by the laws of England. The application of the United Nations Convention on Contracts for the International Sale of Goods, private international laws (e.g. conflict of laws principles) and consumer protection e-commerce regulations, where relevant, are expressly excluded. The exclusive jurisdiction and venue of any action or court proceeding permitted under these Supplier Terms will be the competent court of England, the Supplier and each of the parties hereto waives any objection to jurisdiction and venue in such courts.
